Terms of Service

1. Agreement and eligibility

“Steletta,” “we,” “us,” and “our” refer to Steletta, which operates the Services from 2222 Ponce De Leon Blvd, Miami, Florida 33134, United States. “You” means the person using the Services and any organization that person represents. If you use Steletta for an organization, you confirm that you have authority to accept these Terms for it.

You must be at least 18 years old and legally able to enter a contract to create an account, buy a plan, obtain an API key, or administer a workspace. The Services are designed for adults who create, review, teach, publish, or manage educational materials. They are not intended for a child to create an independent account.

2. The Services

Steletta analyzes learner-facing K–12 assessments and educational materials for matters such as coverage, correctness, answer keys, answerability, distractor quality, clarity, pedagogy, patterns, and usability. A report may include a readiness verdict, two scores, required fixes, suggested improvements, supported strengths, evidence, and recommended changes.

The Services may be provided through:

• ChatGPT, Codex, and Muse connectors that coordinate review work and display a Steletta report
• a personal website workspace for pasted text and document uploads
• organization workspaces and an API for individual or batch reviews

Features, supported formats, limits, and availability may differ by access method or plan.

3. Accounts, authentication, and API keys

You must provide accurate account information and keep access to your email, authentication provider, API keys, and workspace secure. You are responsible for activity under your account and for promptly telling us about suspected unauthorized access.

API keys and authentication tokens are confidential credentials. Do not put them in educational material, connector prompts, client-side code, public repositories, or messages to Steletta. Organization administrators are responsible for member access, integrations, webhook destinations, and use by their personnel and contractors.

4. Your content and permissions

You retain all rights you have in materials, instructions, and other content you submit (“User Content”). You grant Steletta a limited, non-exclusive right to host, copy, parse, transmit, analyze, and display User Content only as needed to provide, secure, support, and maintain the Services and comply with law. This permission ends when the content is deleted, subject to limited security and legal retention described in the Privacy Policy.

You confirm that you own User Content or have permission to submit and process it. Do not upload copyrighted material, answer keys, licensed resources, or confidential information when your agreement with the owner does not allow this use. Uploading content does not transfer ownership to Steletta.

As between you and Steletta, and to the extent permitted by law, you may use the report generated for you for your own teaching, revision, publication, marketplace, or internal quality-control purposes. You may not use Steletta’s output to misrepresent authorship, evade a legal or contractual duty, or claim an endorsement or certification that Steletta has not expressly granted.

5. Student, child, and sensitive data

Steletta’s assessment-review features review educational content, not student records. Remove student names, email addresses, IDs, submissions, grades, individualized education information, health information, and other personally identifiable student data before submitting material for review. Do not submit payment-card data, government identifiers, passwords, API keys, authentication codes, medical records, or other regulated sensitive data.

If an organization intends to use the Services with student personal data, it must first obtain Steletta’s written agreement and any required data-processing or education-privacy terms. The organization is responsible for notices, permissions, parental consent, and compliance with laws such as FERPA, COPPA, and applicable state or local student-privacy rules.

6. Connector use, OpenAI, and Meta

When you invoke Steletta in ChatGPT, Codex, or Muse, that platform reads the source and determines which information to send to Steletta’s tools. Steletta does not receive the original attachment, file-download link, complete extracted document, or full conversation history. It receives learner-task text, structured item and review data, and supporting source details needed for specific checks, as described in the Privacy Policy.

Your use of ChatGPT or Codex is also governed by your agreement with OpenAI. OpenAI controls those interfaces, model behavior, conversation storage, attachment retention, and platform availability. Your use of Muse is governed by your agreement with Meta. Meta controls the Muse interface, model behavior, conversation storage, attachment retention, and platform availability. Steletta is an independent service and is not made, sponsored, or endorsed by OpenAI or Meta.

The connectors do not sell subscriptions or initiate checkout within ChatGPT, Codex, or Muse. If a feature requires a separate Steletta entitlement, a connector may explain that the feature is unavailable and may provide a link to general information, subject to the platform’s rules.

7. Review results and your responsibility

Steletta uses structured workflows, deterministic checks, and AI-assisted analysis. Even so, a report may miss an issue, identify an issue incorrectly, misread a source, or provide an unsuitable recommendation. Scores and verdicts are review aids, not guarantees, certifications, legal opinions, professional accreditation, or promises of marketplace ratings, student outcomes, standards compliance, or commercial success.

You are responsible for reviewing the report and the original material before teaching, assigning, publishing, distributing, buying, or selling it. You are also responsible for accessibility, local curriculum requirements, licensing, safety, and decisions made using a report.

8. Plans, billing, and cancellation

Personal website reviews require an active Creator subscription unless we expressly offer another form of access. We do not promise a free trial or free review allowance. The price, currency, included usage, renewal period, and taxes shown before purchase form part of these Terms. Organization and API pricing, volume, support, and service commitments may be set out in a separate order form.

Subscriptions renew automatically for the stated monthly or annual period until cancelled. You may cancel renewal from your billing page; cancellation takes effect at the end of the current paid period. Included and purchased review units reset each month and do not roll over. Additional units are purchased separately and are not charged automatically. Unless required by law or stated at purchase, payments already made are non-refundable.

9. Acceptable use

You may not use the Services to:

• break any law, violate another person’s rights, or breach a contract or duty of confidentiality
• submit restricted or sensitive data prohibited by these Terms
• gain unauthorized access, test vulnerabilities without permission, interfere with operation, or bypass security, quotas, rate limits, or access controls
• share, resell, rotate, or expose account credentials or API keys outside the authorized organization
• introduce malware, abusive automation, deceptive content, or instructions intended to manipulate models or tools beyond the requested review
• reverse engineer the Services except where applicable law expressly permits it
• use output to deceive learners, customers, marketplaces, schools, or the public about the quality, source, review status, or endorsement of material

We may apply technical limits, reject unsupported material, or suspend access when reasonably necessary to protect the Services or other users.

10. Retention and deletion

Website and API source files, including files created from pasted text, are temporary. They are scheduled for deletion after the review completes, permanently fails, or is cancelled and upload permissions expire. Unfinished sources are scheduled for deletion no later than 24 hours after upload begins, and failed deletion jobs are retried until successful. A connector’s original attachment remains with OpenAI or Meta and is not stored by Steletta.

Personal reports remain until you delete them or close the workspace. API and organization report retention follows the selected setting or written agreement, including a 24-hour temporary-results option. Keep your original material and download any result you need to preserve. Detailed timelines and controls appear in the Privacy Policy.

11. Steletta property and feedback

The Services, software, workflows, scoring methods, interfaces, branding, documentation, and underlying technology belong to Steletta and its licensors. These Terms do not grant you ownership of them. Subject to these Terms, Steletta grants you a limited, revocable, non-transferable right to use the Services during your authorized access.

If you provide feedback, you allow us to use it without restriction or compensation, provided we do not identify you publicly without permission.

12. Third-party services

The Services rely on providers including OpenAI, Meta, Vercel, Neon, Upstash, Google, Stripe, and Postmark. Their services may be subject to separate terms, interruptions, or changes outside Steletta’s control. Third-party links are provided for convenience and do not imply endorsement.

13. Availability and changes

We may maintain, improve, add, remove, or limit features and supported formats. Reviews may be queued, rate-limited, delayed, or rejected because of capacity, source size, safety, technical problems, or plan limits. No uptime, response-time, completion-time, or support commitment applies unless it is included in a written organization agreement.

14. Suspension and termination

You may stop using the Services, cancel renewal, delete reports, or close a personal workspace through the available controls. We may suspend or terminate access for a material breach, unlawful or harmful use, nonpayment, security risk, or conduct that threatens the Services or other users. Where reasonable, we will provide notice and an opportunity to resolve the issue.

After termination, rights to use the Services end. Sections that by their nature should continue, including ownership, payment obligations, disclaimers, and liability limits, survive.

15. Disclaimers

To the fullest extent permitted by law, the Services and reports are provided “as is” and “as available.” Steletta disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted availability. Nothing in these Terms excludes a warranty or right that applicable law does not allow us to exclude.

16. Limitation of liability

To the fullest extent permitted by law, Steletta will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, business opportunities, marketplace sales, ratings, or student outcomes arising from the Services.

To the fullest extent permitted by law, Steletta’s total liability for all claims arising from the Services will not exceed the greater of US $100 or the amount you paid Steletta for the affected Services during the 12 months before the event giving rise to the claim. These limits do not apply where applicable law prohibits them.

17. Organization indemnity

If you use the Services for a business or organization, you will defend and indemnify Steletta against third-party claims, damages, and reasonable costs arising from your User Content, your violation of another person’s rights, your unlawful use, or your material breach of these Terms, except to the extent caused by Steletta’s own breach or misconduct.

18. General terms

If you have a signed organization agreement or order form with Steletta, that agreement controls where it conflicts with these Terms. You may not assign these Terms without our written consent. We may assign them as part of a merger, reorganization, financing, or sale of the Services. If a provision is unenforceable, the remaining provisions continue. A failure to enforce a provision is not a waiver. Headings are for convenience only.

These Terms are governed by the laws of Florida, without regard to conflict-of-law rules. Subject to any mandatory consumer rights that apply to you, disputes arising from these Terms or the Services must be brought in the state or federal courts located in Miami-Dade County, Florida, and each party consents to those courts.

Legal notices to Steletta must be sent to info@steletta.com and Steletta, 2222 Ponce De Leon Blvd, Miami, FL 33134. We may send notices to your account email, through the Services, or by another reasonable electronic method.

19. Changes to these Terms

We may update these Terms as the Services or legal requirements change. We will change the effective date above and provide additional notice before a material change takes effect when required by law. Continued use after the effective date means you accept the updated Terms.
